1. Acceptance of these terms

These Terms of Service (“Terms”) govern your access to and use of GrowSmart, a product of Sparked Labs Ltd (“Sparked Labs”, “GrowSmart”, “we”, “us” or “our”), together with the website at grow-smart.app and any related services (collectively, the “Service”). By accessing or using the Service, or by accepting these Terms in any other way, you agree to be bound by them. If you do not agree, you must not use the Service. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

2. The Service

GrowSmart is an invite-only business-to-business platform that produces AI-generated market-entry and expansion intelligence — including scores, narratives, and Go / No-Go verdicts on cities — for premium venue operators and investors. Access is granted by invitation only; there is no public sign-up. We may change, suspend, or discontinue any part of the Service at any time, and we may set or revise limits on its use.

3. Accounts and acceptable use

If you are granted access, you are responsible for keeping your login credentials confidential and for all activity that occurs under your account. You agree to provide accurate information and to notify us promptly of any unauthorised use. You must not:

• share, resell, or provide access to the Service to anyone who has not been invited;
• use the Service for any unlawful purpose or in breach of any applicable law or regulation;
• attempt to reverse-engineer, copy, scrape, or extract the underlying models, prompts, or systems, or interfere with or disrupt the Service;
• misrepresent the output of the Service as independent, verified, or professional advice.

4. Intellectual property

The Service, including its software, design, content, prompts, and methodology, is owned by Sparked Labs and its licensors and is protected by intellectual property laws. GrowSmart and the leaf mark are trademarks of Sparked Labs; you may not use them without our prior written permission. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes. All rights not expressly granted are reserved.

5. Pricing

Any prices, packages, or figures shown on our website or in marketing materials are indicative only and are provided for general guidance. They do not constitute a binding offer. Pricing for any engagement, pilot, or subscription will be confirmed in a separate written agreement between you and Sparked Labs, which will prevail over any indicative figures.

6. Nature of the analysis — no warranty and not professional advice

This is the most important section of these Terms; please read it carefully.

GrowSmart’s analyses, scores, rankings, narratives, and Go / No-Go verdicts are generated by artificial intelligence and are provided for informational and decision-support purposes only. AI-generated output can be incomplete, out of date, or simply wrong, and may contain errors, omissions, or fabricated details (“hallucinations”), even where sources are cited.

The output does not constitute financial, investment, legal, real-estate, tax, or other professional advice, is not a recommendation to enter into any transaction, and must not be relied upon as such. You are solely responsible for independently verifying any analysis, figure, or conclusion — including through qualified professional advisers and your own due diligence — before making any capital, commercial, contractual, or other decision. Any reliance you place on the output is strictly at your own risk.

7. Disclaimer of warranties

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, conditions, and representations of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that its output will be accurate, complete, or reliable.

8. Limitation of liability

To the fullest extent permitted by law, in no event will Sparked Labs, its directors, employees, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or anticipated savings, arising out of or in connection with your use of (or inability to use) the Service or reliance on its output, whether based in contract, tort (including negligence), or otherwise, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with the Service will not exceed the amounts you have paid to us for the Service in the twelve months preceding the event giving rise to the liability, or, if no amounts have been paid, one hundred pounds sterling (£100). Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence or for fraud.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, including if we reasonably believe you have breached these Terms or to protect the Service or other users. You may stop using the Service at any time. Provisions that by their nature should survive termination — including intellectual property, the disclaimers in sections 6 and 7, limitation of liability, and governing law — will continue to apply.

10. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or the Service (including non-contractual disputes or claims) are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim.

11. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the “Effective date” above. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.
